GOVERNANCE

COSMIC is committed to ethical, transparent, and accountable corporate governance, ensuring compliance, risk management, and long-term value creation across all operations.

Governance practices are embedded within the Group’s organizational structure and aligned with international standards, supporting responsible decision-making and operational integrity.

COSMIC has strengthened its governance framework through the adoption of:

  • An Organizational, Management and Control Model (MOG 231)
  • A Group Code of Ethics aligned with the Responsible Business Alliance (RBA) principles

These instruments establish internal controls and behavioral standards to ensure:

  • Regulatory compliance
  • Anti-corruption and misconduct prevention
  • Ethical conduct across jurisdictions

Quality is a strategic pillar of COSMIC’s governance framework.

Top Management is directly involved in the development, implementation, and continuous improvement of the Integrated Management System (IMS), which includes:

Quality Management (ISO 9001)

  • Automotive Quality (where applicable)
  • Environmental Management (ISO 14001)

COSMIC ensures that semiconductor products and services fully comply with:

  • Customer specifications
  • Applicable regulations
  • International industry standards
  • Quality Principles

Quality Principles

  • Customer-centric requirement definition
  • Continuous product and process monitoring
  • Risk-based management (PDCA methodology)
  • Competence development
  • Qualified supplier management

The objective is continuous improvement of product reliability, safety, and performance, generating sustainable value for customers, partners, and stakeholders.

COSMIC extends its governance principles beyond internal operations to its supply chain and commercial partners.

Supplier selection and monitoring processes require alignment with Group standards in:

  • Social responsibility: safe working conditions and respect for human rights
  • Environmental management: reduction of ecological impact
  • Business integrity: anti-corruption and transparent commercial practices

Through this structured approach, COSMIC ensures that supply chain management is consistent with its ESG framework and semiconductor industry requirements.

COSMIC continues to invest in the modernization and expansion of its global facilities to support efficiency, production capacity, and workforce well-being.

Recent and ongoing projects include:

  • Malacca (Malaysia): expansion and refurbishment completed in early 2025 to increase production capacity and improve operational efficiency.
  • Guilford (UK): relocation to a new facility to enhance operational performance in Q3 2025.
  • Altopascio (Italy): inauguration of the new headquarters planned for Q2 2026, creating a unified technological hub designed to optimize production processes and provide modern, functional working spaces.

These infrastructure developments support scalable growth while improving operational sustainability and workplace quality.
